PREMIUM HOME SERVICE COOPERATIVE GROUP, LLC
Effective Date: 2025

These Terms and Conditions (“Agreement”) govern participation in the Premium Home Service Cooperative Group, LLC Purchasing Cooperative Program (“Co-Op”). By enrolling, participating, or utilizing services offered through the Co-Op, the Member agrees to be bound by the terms set forth below.

1. Membership Eligibility

1.1 Membership is available to homeowners, property owners, and approved participants within designated service areas.
1.2 The Co-Op reserves the right to approve, deny, suspend, or terminate membership at its sole discretion.
1.3 Membership benefits are non-transferable without prior written consent.

2. Nature of the Co-Op

2.1 The Co-Op negotiates pricing, services, and purchasing arrangements with third-party suppliers, contractors, and energy providers (“Vendors”).
2.2 The Co-Op acts solely as a negotiating and administrative facilitator and is not a utility, contractor, supplier, or service provider unless expressly stated in writing.
2.3 All goods and services are ultimately provided directly by third-party Vendors under separate agreements between the Member and the Vendor.

3. Pricing & Savings Disclaimer

3.1 Pricing made available to Members reflects negotiated group rates and may vary based on market conditions, geographic region, usage levels, and Vendor terms.
3.2 Any stated savings (e.g., average savings per fill, percentage savings, or annual savings) are estimates based on historical data and are not guaranteed.
3.3 Pricing may change without notice due to market fluctuations, supply constraints, regulatory changes, or Vendor adjustments.

4. Member Responsibilities

4.1 Members agree to provide accurate, current, and complete information.
4.2 Members are responsible for reviewing and understanding all Vendor contracts prior to signing.
4.3 Members agree to comply with all safety, regulatory, and contractual obligations associated with services received.

5. Fees & Payments

5.1 Membership fees, if applicable, will be disclosed prior to enrollment.
5.2 The Co-Op may receive administrative fees or compensation from Vendors for facilitating group purchasing agreements.
5.3 The Co-Op is not responsible for billing disputes between Members and Vendors.

6. Vendor Performance & Liability

6.1 The Co-Op does not guarantee the performance, quality, timeliness, or suitability of any Vendor’s products or services.
6.2 Any disputes regarding service, billing, delivery, workmanship, or performance must be addressed directly with the Vendor.
6.3 To the fullest extent permitted by law, the Co-Op disclaims all liability for damages arising from Vendor actions, omissions, delays, or service interruptions.

7. Termination of Membership

7.1 Members may cancel their Co-Op participation at any time in writing.
7.2 The Co-Op reserves the right to terminate membership for violation of these Terms, misuse of benefits, non-payment of fees, or misconduct.
7.3 Termination does not void separate contractual obligations between Member and Vendor.

8. Intellectual Property

All logos, trademarks, marketing materials, and program content remain the exclusive property of the Co-Op and may not be reproduced without written permission.

9. Indemnification

Members agree to indemnify and hold harmless the Co-Op, its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Member misuse of services

  • Breach of these Terms

  • Disputes with Vendors

10. Limitation of Liability

To the maximum extent permitted by law, the Co-Op’s total liability shall not exceed the amount of membership fees paid by the Member in the preceding twelve (12) months.

11. Privacy

Member information will be used for program administration and shared with participating Vendors as necessary to facilitate services. The Co-Op does not sell personal information to third parties outside the scope of program administration.

12. Governing Law

This Agreement shall be governed by and construed under the laws of the State of [Insert State], without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Placer County, California.

13. Amendments

The Co-Op reserves the right to update or modify these Terms at any time. Continued participation after updates constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms constitute the entire agreement between the Member and the Co-Op and supersede all prior representations or agreements.

By enrolling in the Co-Op, the Member acknowledges that they have read, understood, and agreed to these Terms and Conditions.
